Terms of service
The standard terms for using the Seedrise API and console. Plain language, no surprises; your signed agreement adds to or replaces these where it says so.
Draft for review. This document is the current version of our standard terms and will be finalised with legal review before your agreement is signed. The agreement you sign takes precedence over this page.
1. The service
Seedrise provides access to third-party AI models through a single API and console (the Service). Seedrise Pty Ltd (Seedrise, we, us) is an Australian company based in Sydney. These terms apply to every account; a signed agreement or order form takes precedence where it differs.
2. Accounts and keys
Accounts are opened by Seedrise for a company, not for individuals. You are responsible for everyone who uses your account and keys, for keeping keys confidential, and for the limits you set on each key. Tell us immediately if a key is exposed; we will disable it.
3. Acceptable use
Your use must comply with our acceptable use policy and with the usage policies of each model's developer. We may suspend a key or an account that breaches them, and will tell you why.
4. Fees, rate card and invoicing
Fees are set out in your rate card. Usage is billed monthly in arrears in the currency on your rate card, itemised by model and project, or drawn from prepaid credit. Rate cards are exclusive of GST; Australian entities receive a GST tax invoice. Invoices are due within the payment terms on the rate card; overdue amounts may lead to suspension after notice.
5. Changes to rates and models
Provider price changes and model retirements are passed on with written notice and an effective date. Committed-term rates are fixed for the term. We may add models at any time.
6. Availability
We operate the Service with care and route around provider outages where we can. We do not promise a specific availability percentage under these standard terms; service levels, if any, are set out in an Enterprise agreement.
7. Your data
You own your prompts and outputs. We do not store content and never use it to train models. We process request metadata as described in the privacy policy and, where signed, the data processing agreement.
8. Third-party models
Model outputs are generated by third-party models and may be inaccurate. You are responsible for reviewing outputs before relying on them and for complying with each model developer's usage policy.
9. Liability
To the extent permitted by law, Seedrise's total liability under these terms in any 12-month period is limited to the fees you paid in that period, and neither party is liable for indirect or consequential loss. Nothing in these terms excludes guarantees that cannot be excluded under the Australian Consumer Law; where permitted, our liability for a breach of such a guarantee is limited to resupplying the service.
10. Termination
Either party may end a pay-as-you-go account with 30 days' notice. Committed terms end at the end of the term unless renewed. We may suspend immediately for non-payment or a serious breach of the acceptable use policy, with notice. On termination, outstanding fees remain payable and keys are disabled.
11. Confidentiality
Each party keeps the other's non-public information confidential, including rate cards, and uses it only for the purposes of the agreement.
12. Governing law
These terms are governed by the laws of New South Wales, Australia. Disputes are subject to the courts of New South Wales. Questions about these terms: legal@seedrise.ai.
